REGULATION :

SUPPLIER CONTROLS

· Buyer Profile Access: Provide or block access to buyers by profile at any level. Profile level 1 is Industry, level 2 is Business Type, and level 3 is Job Type.

· Specific Business Access: Give access to specific company/organization employees that would otherwise be blocked due to Buyer Profile assignment.

· One Use Access: Connect any unregistered individual with easy to generate unique login and password to your program that deactivates after one use. Buyer is still subject to program limits below.

· Limits by Product Category: Place limits on any product category, i.e. 2 Handbags, for the duration of the program (year or seasonal)

· Ship To Address Restriction: Restrict shipments to Retail account buyers to the business address only.

· Order Origination: All orders from registered Service Syndicate members include the buyers qualifying business profile, and the name of their administrator (boss/manager). All orders from non-registered members are via supplier distributed Friends & Family/One-Use codes whose origination can be easily tracked. ALL orders include buyers email and phone number as well.

· Order Acceptance: Suppliers ultimately have the decision whether to accept and ship all orders based on origination and/or inventory requirements. Not comfortable with an order? Cancel it.

BUYER ADMINISTRATOR CONTROLS
It is important to remember that all Service Syndicate buyer accounts are qualified at the organization level first, and that includes ensuring the account is under the control of a principle or manager of the business - the Administrator. Only then can members be added to the account, and then approved by Service Syndicate pending employment/professional status verification.

· Member Access: Administrators can remove or add employees/members at their discretion at any time.

· Brand Restrictor: Administrators can block their member's access to any brand that they do not want them making purchases from.

· Ship To Address: Administrators can elect to have all orders shipped to the business as an added control measure. This also prevents newly ex-employees from placing orders if they haven't been removed from the account yet.

· Order Visibility: Administrators can monitor all member orders on the account to ensure any guidelines they have set are not being broken.

SERVICE SYNDICATE CONTROLS
Ultimately it is our reason for being to manage access to and activity with our suppliers programs. We have implemented automated system wide controls that exceed the requirements of the vast majority of our customers. While we constantly receive grief from individuals that encounter these controls, we feel very strongly that centralized regulation is the only way the pro purchase channel can effectively benefit brands and their supporters alike without negatively affecting retailers and their relationship with their vendors.

The following controls help automate this regulation, however the most important resource we employ is simply to make it our business to pay full attention to all activity that happens on Service Syndicate. We are by no means claiming to have a fool-proof system (yet!), but we will be the first to aggressively investigate and cut any individual participating in any form of abuse, something we know that supplier's have neither the desire or resources to take on with any effectiveness. Without this mission, we would quickly lose the support of our suppliers and the entire retail community.

Buyer Account Qualification

· Business Qualification: A buyer accounts are qualified at the business level first. Service Syndicate verifies that the submitting organization, or professional if an independent contractor, has an active and quantifiable focus within the appropriate industry.

· Administrator Qualification: While qualifying the organization is relatively easy with the help of the internet and our suppliers, the most important step is to make sure we have a qualified principle or manager of the organization that can handle the management of members on the account.

· Member Qualification: The final qualification step is the verification of all members added to the account. While the Administrator can add or remove employees as desired, new members are not approved for access until we have receive verification of active employment or qualifying membership status for professional and trade organizations.

Purchasing Limits

· Product Category Limits: Represents one of the unique abuse controls that only a centralized regulator can provide the market. Service Syndicate buyers are subject to annual purchasing limits for every Product Category, ex. watches = 2, regardless of brand. This means that a buyer cannot purchase two watches from brand A and then order two more from brand B and so on, regardless of those brands own program limits. Not only does this limit exposure of buyers abusing their privileges, but also it greatly improves the odds that they are actually purchasing for their own use, which is the whole point of these programs in the first place.

· Monthly Purchase Limits: Buyers are limited to a total of 8 purchases per month

· Annual Purchase Limits: Buyers are limited to a total of 36 purchases annually.
